All account requests are subject to approval and require the acceptance of the following term of agreement. The following is an electronic acknowlegement and acceptance of our
NON-DISCLOSURE STATEMENT. Once submitted and your request approved, you agree to be bound by this agreement. The agreement states as follows:
- Owner = CenterPoint, LLC, Albuquerque, New Mexico
- Reviewer = Individual applying for access to this website.
I, the Reviewer, agree that I will not, directly or indirectly, give any person access to the proprietary information of Owner received in confidence, including all papers, prototypes and copies relating to the invention ("Proprietary Information"), disclose any Proprietary Information to any person, or use any Proprietary Information, other than as necessary for Reviewer's own internal testing, assessment, consideration, or evaluation of the Invention, or providing of services or support for Owner. Proprietary Information shall not include information regarding the Invention which:
a) was in possession of Reviewer prior to receiving it from Owner;
b) is or becomes part of the public knowledge or literature by acts other than those of Reviewer after its receipt; or
c) is or becomes available to a third party from Owner on an unrestricted basis.
Reviewer agrees to return all Proprietary Information submitted upon demand, and to pay to Owner a reasonable sum and royalty to be settled by future negotiation, mediation, arbitration, or litigation if Reviewer discloses, manufactures, uses or sells such Proprietary Information. Reviewer further agrees that any modifications or improvements to the Invention which may result are owned by Owner, and Reviewer agrees to cooperate fully with Owner in effecting this ownership.
